The first thing to do is to determine which legal form best suits your situation. In Belgium, many first-time freelancers opt for the status of natural person, i.e. a sole proprietorship. But it\u2019s also possible to set up a company from the start.<\/strong><\/p>\n\n\n\n<p><strong>The limited partnership, or SComm\/CommV, is one of the company forms you can choose. But what is it, and in which situations does it make sense to set one up? In this article, we share the advantages and disadvantages of this company form as well as advice on setting up your own company.<\/strong><\/p>\n\n\n\n<h2 class=\"wp-block-heading\"><strong>What is a limited partnership?<\/strong><\/h2>\n\n\n\n<p>A limited partnership (\u2018soci\u00e9t\u00e9 en commandite\u2019 (SComm) \/ \u2018commanditaire vennootschap\u2019 (CommV)) is a&nbsp;<strong>company with legal personality,<\/strong>&nbsp;meaning a&nbsp;<strong>company with its own rights and obligations.<\/strong>&nbsp;An Scomm\/CommV always has&nbsp;<strong>a minimum of two partners,<\/strong> with at least<strong>&nbsp;one managing partner and one passive partner.<\/strong><\/p>\n\n\n\n<p>A few years ago, this legal form was also called a simple limited partnership (\u2018soci\u00e9t\u00e9 en commandite simple\u2019 (SCS) \/ \u2018gewone commanditaire vennootschap\u2019 (GCV)). If you\u2019ve already heard that term, you can forget it, because it\u2019s no longer relevant!<\/p>\n\n\n\n<h3 class=\"wp-block-heading\"><strong>Managing partners and passive partners<\/strong><\/h3>\n\n\n\n<p>The&nbsp;<strong>managing partner<\/strong>&nbsp;of an Scomm\/CommV is, as the name suggests, the person who manages the day-to-day activities of the company. This person can be considered the&nbsp;<strong>director of the company.<\/strong> In addition, the managing partner is personally liable for any debts the limited partnership incurs.<\/p>\n\n\n\n<p>The&nbsp;<strong>passive partner<\/strong>&nbsp;of a limited partnership invests money in the business, but does not manage it. This person is often simply a&nbsp;<strong>financer,<\/strong> who cannot be held personally liable in the event of financial problems. In other words, they can only lose the capital they have injected into the partnership.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\"><strong>How is an SComm\/CommV different to an SNC\/VOF?<\/strong><\/h2>\n\n\n\n<p>The limited partnership (SComm\/CommV), and the general partnership (\u2018soci\u00e9t\u00e9 en nom collectif\u2019 (SNC) \/ \u2018vennootschap onder firma\u2019 (VOF)) are two forms of partnership, which is one of the simplest and most flexible legal forms in Belgium. Unlike the SNC\/VOF, the&nbsp;<strong>SComm\/CommV has a passive partner.<\/strong>&nbsp;This partner is not personally liable for the company, whereas in the SNC\/VOF, all partners are liable.<\/p>\n\n\n\n<p>In addition, the partners of an SNC\/VOF have the right to play an active role in the company. They are jointly responsible for its direction and decisions. This is different in a limited partnership: the&nbsp;<strong>passive partners<\/strong>&nbsp;have&nbsp;<strong>no say in the management<\/strong>&nbsp;of the company and therefore cannot make any decisions.<\/p>\n\n\n\n<p>Lastly, the passive partner of an SComm\/CommV can&nbsp;<strong>remain anonymous<\/strong>&nbsp;if they wish. Conversely, in an SNC\/VOF, the names of the partners are always publicly available.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\"><strong>The advantages of a limited partnership<\/strong><\/h2>\n\n\n\n<p>Why set up a limited partnership? Discover the advantages of a SComm\/CommV.<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>There is <strong>no minimum capital<\/strong>\u00a0needed to set up a limited partnership. This company form is therefore very accessible, even for young freelancers. The managing and passive partners of an SComm\/CommV can, however, decide to constitute a starting capital and make this contribution in cash or in kind.<\/li>\n\n\n\n<li>Since the limited partnership allows for a passive partner, it\u2019s\u00a0<strong>easier to attract<\/strong>\u00a0<strong>investors<\/strong> who don\u2019t want to be actively involved in the management of the company.<\/li>\n\n\n\n<li><strong>Setting\u00a0up this type of company involves fewer formalities<\/strong>\u00a0than an\u00a0SRL\/BV<strong>\u00a0<\/strong>or an SA\/NV, for example. The SComm\/CommV can be set up by means of a deed that does not need to be notarised. A saving of around \u20ac1,000! What\u2019s more, establishing a limited partnership doesn\u2019t require a financial plan, even if this is recommended for any self-employed person starting out.<\/li>\n\n\n\n<li>Limited partnerships have\u00a0<strong>fewer obligations<\/strong>\u00a0than other types of companies. This\u00a0<strong>makes it easier\u00a0to manage the company.<\/strong> For example, there\u2019s no obligation to prepare annual accounts or keep\u00a0double-entry accounting\u00a0if your turnover doesn\u2019t exceed \u20ac500,000. There\u2019s also no obligation to hold an annual general meeting, unless this is stipulated in your company&#8217;s articles of association.<\/li>\n\n\n\n<li>The\u00a0<strong>shares<\/strong>\u00a0of a limited partnership are registered and\u00a0<strong>non-transferable.<\/strong> This is an interesting advantage if you want to create a family business and protect its character.<\/li>\n\n\n\n<li>As\u00a0a<strong> managing partner,<\/strong> you\u2019re alone at the helm of your business and therefore have\u00a0<strong>full decision-making power.<\/strong> (Of course, if there are multiple managing partners, you run the business together.)<\/li>\n\n\n\n<li>As\u00a0a<strong> passive partner,<\/strong> your personal capital is\u00a0<strong>protected from the company&#8217;s debts.<\/strong> Your liability is therefore limited to the amount you invest in the business.<\/li>\n<\/ul>\n\n\n\n<p>\ud83d\udca1<strong>Accountable tip:<\/strong>\u00a0like any self-employed person, a limited partnership can\u00a0<strong><a href=\"https:\/\/www.deductibles.be\/\">deduct business expenses<\/a><\/strong>\u00a0to reduce its taxable income and thereby pay less tax.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\"><strong>The disadvantages of an SComm\/CommV<\/strong><\/h2>\n\n\n\n<p>Like any\u00a0<strong><a href=\"https:\/\/www.accountable.eu\/en-be\/blog\/choosing-business-structure-self-employed\/\">company form<\/a>,<\/strong> the limited partnership has some disadvantages that must be taken into account:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Are you the\u00a0<strong>managing partner<\/strong>\u00a0of the company? In this case, you\u2019re\u00a0<strong>personally and indefinitely liable<\/strong>\u00a0for any debts of the SComm\/CommV. In other words, your personal assets may be targeted if your company is in difficulty or goes bankrupt.<\/li>\n\n\n\n<li>As\u00a0a<strong> passive partner<\/strong>\u00a0in a limited partnership, you have\u00a0<strong>no say in the business.<\/strong> To be involved in the management of the company, you must become a managing partner and be personally liable for any debts.<\/li>\n\n\n\n<li>An SComm\/CommV\u00a0<strong>can\u2019t distribute profits if the company is in deficit.<\/strong>\u00a0<strong>Profits may be distributed to partners<\/strong>\u00a0as soon as the losses have been fully offset.<\/li>\n<\/ul>\n\n\n\n<h2 class=\"wp-block-heading\"><strong>Is setting up a limited partnership a good idea?<\/strong><\/h2>\n\n\n\n<p>Do you want\u00a0to <a href=\"https:\/\/www.accountable.eu\/en-be\/blog\/become-self-employed-belgium-5-steps\/\">become self-employed<\/a>\u00a0and carry out an activity that involves\u00a0<strong>little risk?<\/strong> Do you want to get started\u00a0<strong>quickly, simply, with no starting capital<\/strong>\u00a0and manage everything yourself? Then a limited partnership is a good starting point.<\/p>\n\n\n\n<p><strong>When is the SComm\/CommV not recommended?<\/strong>&nbsp;This company form is less suitable for&nbsp;<strong>companies with a higher risk of bankruptcy&nbsp;<\/strong>(page available in French\/Dutch). We also advise against a limited partnership if you need a&nbsp;<strong>large starting capital<\/strong>&nbsp;and&nbsp;<strong>numerous loans<\/strong>&nbsp;to launch your freelance activity. Having an SComm\/CommV would be risky here, because you\u2019re personally and indefinitely liable for your company\u2019s debts. In this situation, a limited liability company (\u2018soci\u00e9t\u00e9 \u00e0 responsabilit\u00e9 limit\u00e9e\u2019&nbsp;(SRL) \/ \u2019besloten vennootschap\u2019 (BV)) makes more sense.&nbsp;<\/p>\n\n\n\n<p>\ud83d\udca1&nbsp;<strong>Accountable tip:<\/strong>&nbsp;You&#8217;ve started an SComm\/CommV, but you&#8217;re no longer sure that this company form is best suited to your situation? You can always change the legal form of your company. The change involves costs, but these are tax deductible and frankly, it&#8217;s better to pay a little and gain peace of mind, right?<\/p>\n\n\n\n<h2 class=\"wp-block-heading\"><strong>Need advice on getting started as a freelancer?<\/strong><\/h2>\n\n\n\n<p>It&#8217;s decided, you\u2019re going to set up a limited partnership. But where to start? Before you can begin your self-employed activity, you have to <strong>apply for a company number<\/strong>, draw up the deed to set up the SComm\/CommV, and register your company with the Crossroads Bank for Enterprises. The creation of your limited partnership must then be published in the Belgian Official Gazette. All done?
