Paying yourself a higher salary increases personal income tax and social security contributions, whereas a lower salary could restrict access to certain tax benefits.<\/strong><\/p>\n\n\n\n<p><strong>In this article, we\u2019ll provide guidance on recommended remuneration levels, explore relevant tax incentives, and outline strategies for efficiently extracting profits from your own company.<\/strong><\/p>\n\n\n\n<h2 class=\"wp-block-heading\">What&#8217;s the recommended salary for company directors?<\/h2>\n\n\n\n<p><strong>As a company director, setting your own salary is in your hands\u2014but it\u2019s not a decision to be made lightly. <\/strong><\/p>\n\n\n\n<p>To figure out the right amount, you&#8217;ll need to map out a financial plan for the next 3 to 5 years. This is where a chartered accountant comes in handy to help you crunch the numbers.<\/p>\n\n\n\n<p>But remember: the higher your salary as a company director, the more you\u2019ll pay in social security contributions and personal income tax. So, it\u2019s all about <strong>finding that sweet spot between a fair income and tax efficiency<\/strong>. <\/p>\n\n\n\n<p><strong>A gross annual salary of \u20ac50,000 serves as an important benchmark for SRL\/BV directors.<\/strong> It strikes a balance between ensuring a reasonable income and optimising tax efficiency. This remuneration can include:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li><strong>Directors&#8217; fees <\/strong>(tanti\u00e8mes\/loon)<\/li>\n\n\n\n<li><strong>Taxable benefits<\/strong>, such as company cars or phones (<a href=\"https:\/\/www.accountable.eu\/fr-be\/blog\/avantages-toute-nature-calculer\/\">ATN\/VAA<\/a>)<\/li>\n<\/ul>\n\n\n\n<h3 class=\"wp-block-heading\">Why \u20ac50,000?<\/h3>\n\n\n\n<p>You might be wondering why \u20ac50,000 is considered the sweet spot.<\/p>\n\n\n\n<p>Companies with a director\u2019s salary of at least \u20ac50,000 can access a <strong>reduced corporate tax rate of 20%<\/strong> on the first \u20ac100,000 of profits.<\/p>\n\n\n\n<p>Profits beyond \u20ac100,000 are taxed at the standard 25% rate. <\/p>\n\n\n\n<p><em>Note: only <strong>small companies<\/strong> qualify for this reduced rate under Article 1:24, \u00a7\u00a71-6 of the Belgian Companies and Associations Code (CSA).<\/em><\/p>\n\n\n\n<h2 class=\"wp-block-heading\"><strong>Is my company eligible for the reduced corporate tax rate?<\/strong><\/h2>\n\n\n\n<p>To benefit from the <strong>20% corporate tax rate<\/strong> on the first \u20ac100,000 of profits, the following conditions must be met:<\/p>\n\n\n\n<h3 class=\"wp-block-heading\">1. <strong>Director\u2019s remuneration and taxable income<\/strong><\/h3>\n\n\n\n<ul class=\"wp-block-list\">\n<li>The company <strong>director&#8217;s remuneration is equal to the company&#8217;s taxable income<\/strong>. For example, the company\u2019s taxable income is \u20ac30,000, the director\u2019s remuneration must match this amount.<\/li>\n\n\n\n<li>If profits exceed <strong>\u20ac50,000<\/strong>, setting a salary at or above \u20ac50,000 is sufficient.<\/li>\n<\/ul>\n\n\n\n<h3 class=\"wp-block-heading\">2. <strong>Newly created companies<\/strong><\/h3>\n\n\n\n<p>Newly established SRL\/BV companies enjoy the reduced rate for their first 4 fiscal years. <strong>However, if transitioning from a sole proprietorship to an SRL\/BV, the clock starts from the sole proprietorship&#8217;s creation date.<\/strong><\/p>\n\n\n\n<h3 class=\"wp-block-heading\">3. <strong>Requirements for small companies<\/strong><\/h3>\n\n\n\n<ul class=\"wp-block-list\">\n<li>The company must meet the criteria defined in Article 1:24, \u00a7\u00a71-6 CSA.<\/li>\n\n\n\n<li>At least <strong>50% of shareholders<\/strong> must be natural persons.<\/li>\n\n\n\n<li>The company must not function as a financial entity with shareholdings exceeding 50% of its released capital, reserves, and gains.<\/li>\n<\/ul>\n\n\n\n<h2 class=\"wp-block-heading\"><strong>Extracting funds from your SRL\/BV<\/strong><\/h2>\n\n\n\n<p><strong>Beyond a salary, company directors can also distribute profits through dividends, directors\u2019 fees, or liquidation reserves.<\/strong> Each option has distinct tax implications:<\/p>\n\n\n\n<h3 class=\"wp-block-heading\">1. <strong>Dividends and directors&#8217; fees<\/strong><\/h3>\n\n\n\n<ul class=\"wp-block-list\">\n<li><strong>Dividends<\/strong><br>As income from movable property, dividends are taxed at a <strong>30% withholding tax<\/strong> but are exempt from social security contributions. <br><br><strong>Reduced withholding tax rates for small companies<\/strong>:<br>For dividends from shares issued after 1 July 2013 (fully paid in cash and held continuously):\n<ul class=\"wp-block-list\">\n<li>30% in the first and second fiscal year after issuance<\/li>\n\n\n\n<li>20% in the third fiscal year<\/li>\n\n\n\n<li>15% from the fourth fiscal year onward<br><\/li>\n<\/ul>\n<\/li>\n\n\n\n<li><strong>Directors\u2019 fees<\/strong><br>Distributed as a share of profits at the Annual General Meeting, directors\u2019 fees are subject to both <strong>personal income tax<\/strong> and <strong>social security contributions<\/strong>.<br><br>These are the<strong> key conditions for dividends and director&#8217;s fees<\/strong>:\n<ul class=\"wp-block-list\">\n<li><strong>Net assets test<\/strong>: Distributions must not reduce the company\u2019s net assets below zero.<\/li>\n\n\n\n<li><strong>Liquidity test<\/strong>: The company must remain capable of meeting its financial obligations post-distribution.<\/li>\n<\/ul>\n<\/li>\n<\/ul>\n\n\n    <!-- wp:acf\/blog-annotation -->\n    <div class=\"wp-block-acf-blog-annotation flex items-start gap-4 bg-light-purple py-6 px-4 rounded-lg mb-3 mt-3\">\n                    <img decoding=\"async\" class=\"flex-shrink-0\" src=\"https:\/\/www.accountable.eu\/wp-content\/themes\/accountable\/assets\/rebranding-images\/icons\/blog\/widgets\/exclamation.svg\" alt=\"exclamation\">\n        \n        <div class=\"blog-annotation__text\">\n            <p class=\"font-inter text-lg text-purple m-0\">The federal government plans to raise the VVPR-Bis rate from <strong class=\"font-bold\">15% to 18%<\/strong> via the new programme law, <strong class=\"font-bold\">at the earliest from 1 June 2026<\/strong>. Until the law is published, the current rate remains in force.<\/p>\n        <\/div>\n    <\/div>\n    <!-- \/wp:acf\/blog-annotation -->\n\n\n\n<h3 class=\"wp-block-heading\">2. <strong>Liquidation reserves<\/strong><\/h3>\n\n\n\n<p><strong>A liquidation reserve is one of the most tax-efficient ways to extract profits from your SRL\/BV. <\/strong>Companies can allocate part of their profits to this reserve, which is initially taxed at <strong>10%<\/strong> in addition to the standard corporate tax rate.<\/p>\n\n\n\n<p>Since 1 July 2025, you can already distribute this reserve after <strong>three years<\/strong> at a withholding tax rate of <strong>6.5%<\/strong>. For the classic five-year waiting period, the rate is just <strong>5%<\/strong>. Upon liquidation of the company, no further withholding tax is due at all \u2014 only the original 10% levy.<\/p>\n\n\n\n<p><strong>Example:<\/strong> a liquidation reserve created for the 2024 fiscal year can be distributed at the reduced rate of 6.5% from 1 January 2028, or at 5% from 1 January 2030. This is significantly more advantageous than the standard 30% withholding tax on dividends.<\/p>\n\n\n    <!-- wp:acf\/blog-annotation -->\n    <div class=\"wp-block-acf-blog-annotation flex items-start gap-4 bg-light-purple py-6 px-4 rounded-lg mb-3 mt-3\">\n                    <img decoding=\"async\" class=\"flex-shrink-0\" src=\"https:\/\/www.accountable.eu\/wp-content\/themes\/accountable\/assets\/rebranding-images\/icons\/blog\/widgets\/exclamation.svg\" alt=\"exclamation\">\n        \n        <div class=\"blog-annotation__text\">\n            <p class=\"font-inter text-lg text-purple m-0\">For liquidation reserves constituted <strong class=\"font-bold\">from 31 December 2025<\/strong>, the government plans to raise the withholding tax after 3 years from <strong class=\"font-bold\">6.5% to<\/strong> <strong class=\"font-bold\">9.8%<\/strong> (total tax burden: 18%).
